Welcome to AliPeak (https://alipeak.com), Bangladesh's premier multivendor ecommerce platform. These Terms & Conditions ("Terms") govern your use of our website, mobile application, and all services provided by AliPeak. By accessing, browsing, or using AliPeak, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our platform. AliPeak reserves the right to modify these Terms at any time without notice. Changes take effect immediately upon posting.


1. Definitions and Interpretation

1.1 Key Terms

  1. "Platform": The AliPeak website (https://alipeak.com) and mobile applications
  2. "User": Any person accessing the Platform
  3. "Customer": A User who purchases products
  4. "Seller": A User who sells products on the Platform
  5. "Services": All products and services offered through AliPeak
  6. "Content": All text, images, videos, product listings, reviews, and information on the Platform
  7. "Transaction": The purchase of products from Sellers through the Platform
  8. "We/Us/Our": AliPeak and its affiliates, subsidiaries, and related entities
  9. "You/Your": Any User of the Platform


2. User Eligibility and Registration

2.1 Age Requirement

You must be at least 18 years old to use AliPeak. By using the Platform, you represent and warrant that:

  1. You are at least 18 years of age
  2. You have the legal capacity to enter into binding agreements
  3. You are not prohibited by law from using our services
  4. You are a resident of Bangladesh (for Customers) or eligible to operate a business (for Sellers)

2.2 Account Registration

To use AliPeak, you must create an account by providing:

  1. Valid email address
  2. Valid phone number
  3. Strong password (minimum 8 characters)
  4. Accurate personal information
  5. Identification documents (for Sellers)
  6. Tax ID/BIN (for Sellers, if required)

2.3 Account Responsibility

You are solely responsible for:

  1. Maintaining confidentiality of your login credentials
  2. All activities that occur under your account
  3. Immediately notifying us of unauthorized access or breach
  4. Keeping your information accurate and up-to-date
  5. Complying with all applicable laws and our Terms

AliPeak is not liable for any unauthorized access or misuse of your account resulting from your negligence.

2.4 Account Suspension and Termination

We may suspend or terminate your account if we have reasonable grounds to believe you:

  1. Violated these Terms or any AliPeak policy
  2. Engaged in fraudulent or illegal activity
  3. Abused our platform or other users
  4. Provided false or misleading information
  5. Violated intellectual property rights
  6. Posed a risk to platform security or other users
  7. Made repeated violations of policies

Suspension may be temporary or permanent. We will notify you of suspension with reasons (except in emergency cases). You may appeal suspension within 7 days.


3. Customer Obligations and Conduct

3.1 Lawful Use

You agree to use AliPeak only for lawful purposes and in a way that does not infringe upon the rights of others or restrict their use and enjoyment of the Platform. Prohibited behavior includes:

  1. Harassing or causing distress or inconvenience to any person
  2. Transmitting obscene or offensive content
  3. Disrupting the normal flow of dialogue in our platform
  4. Attempting to gain unauthorized access to our systems
  5. Interfering with the functionality of the Platform
  6. Using automated bots or scraping tools
  7. Engaging in any form of fraud or deception
  8. Hacking, phishing, or malware distribution
  9. Violating any applicable laws or regulations

3.2 Prohibited Content

You must not upload, post, or transmit any content that:

  1. Is illegal, offensive, or harmful
  2. Contains violence, threats, or harassment
  3. Promotes discrimination based on protected characteristics
  4. Contains sexually explicit material
  5. Infringes intellectual property rights
  6. Contains misleading or false information
  7. Is spam or repetitive
  8. Contains personal information of others without consent

3.3 Transaction Integrity

When making purchases, you must:

  1. Provide accurate and complete information
  2. Use only your own payment methods
  3. Not attempt payment fraud or chargeback abuse
  4. Accept all orders you complete unless cancelled within the permitted timeframe
  5. Receive items at the address you specify
  6. Pay all amounts owed


4. Seller Terms

4.1 Seller Registration Requirements

To become a Seller on AliPeak, you must:

  1. Be at least 18 years old
  2. Provide valid government-issued identification
  3. Provide valid business registration documents (if applicable)
  4. Provide tax identification number (if required)
  5. Provide valid bank account for payments
  6. Complete seller verification process
  7. Agree to AliPeak Seller Policies

4.2 Product Listing Requirements

All products listed by Sellers must:

  1. Be accurate, complete, and not misleading
  2. Include genuine product images
  3. Clearly state price, availability, and delivery time
  4. Comply with all applicable laws and regulations
  5. Not infringe any intellectual property rights
  6. Not be counterfeit, stolen, or illegal items
  7. Include proper product descriptions and specifications
  8. Disclose any known defects or issues
  9. Not contain false claims or exaggerations

4.3 Prohibited Products

Sellers cannot list or sell the following items:

  1. Illegal items (drugs, weapons, explosives)
  2. Counterfeit or replica products
  3. Stolen goods
  4. Recalled or dangerous products
  5. Sexually explicit materials
  6. Items that promote violence or discrimination
  7. Hazardous materials (without proper licensing)
  8. Live animals (with exceptions for authorized sellers)
  9. Items violating intellectual property rights
  10. Services that should be regulated or licensed

4.4 Seller Conduct and Standards

Sellers must:

  1. Process orders promptly and accurately
  2. Ship items in good condition and on time
  3. Respond to customer inquiries within 24 hours
  4. Handle returns and refunds fairly and transparently
  5. Not engage in fraud or deceptive practices
  6. Maintain honest seller ratings and reviews
  7. Not demand customers provide false reviews
  8. Comply with all return and refund policies
  9. Maintain confidentiality of customer information
  10. Not communicate with customers outside the Platform without consent

4.5 Seller Commission and Fees

AliPeak charges sellers the following:

  1. Commission: A percentage of each sale (varies by category)
  2. Payment Processing Fee: A small fee for payment processing
  3. Listing Fee: Optional premium listing features
  4. Advertising Fee: Optional for promoted listings

All fees are deducted from seller payments before transfer. Detailed fee schedule is available in Seller Dashboard.

4.6 Seller Payment Terms

  1. Payments are processed weekly or bi-weekly depending on settings
  2. Payments are transferred to registered bank account
  3. AliPeak retains funds during dispute period (14 days post-delivery)
  4. Sellers can request early payment (subject to fees)
  5. AliPeak may withhold payments for violations or disputes
  6. Minimum payment threshold must be met before transfer


5. Product and Service Quality

5.1 Product Accuracy

Sellers are responsible for ensuring product listings are accurate, complete, and not misleading. Customers rely on the following:

  1. Product descriptions and specifications
  2. Product images and condition
  3. Pricing and availability information
  4. Delivery and return policy
  5. Product authenticity guarantees

5.2 Quality Standards

All products must meet minimum quality standards:

  1. Be in the condition described
  2. Function as advertised
  3. Be safe for intended use
  4. Comply with applicable safety standards
  5. Not be damaged, defective, or recalled

5.3 Warranty and Guarantees

Products are sold "as is" unless Sellers explicitly provide warranties. Any warranties provided by Sellers are their responsibility to honor. AliPeak is not responsible for seller-provided warranties.


6. Payments and Pricing

6.1 Pricing Information

All prices displayed are in Bangladesh Taka (BDT) and inclusive of applicable taxes unless stated otherwise. Sellers are responsible for accurate pricing. AliPeak is not liable for pricing errors, though we may cancel orders with obvious errors.

6.2 Accepted Payment Methods

AliPeak accepts the following payment methods:

  1. Credit and debit cards (Visa, Mastercard)
  2. Mobile banking (bKash, Nagad, Rocket)
  3. Bank transfers
  4. Cash on Delivery (COD)
  5. Digital wallets (if available)

6.3 Payment Security

Payment processing is handled by secure, PCI-compliant payment gateways. We do not store full card details on our servers. By making a payment, you authorize the charge to your account.

6.4 Disputed Payments

If you dispute a payment:

  1. Contact customer support immediately
  2. Do not file a chargeback without contacting us first
  3. Provide proof of dispute (order details, communication)
  4. We will investigate within 5-7 business days
  5. Multiple chargebacks may result in account suspension

6.5 Taxes

You are responsible for any applicable taxes on your purchases. AliPeak may collect and remit taxes on your behalf as required by law.


7. Intellectual Property Rights

7.1 AliPeak's Intellectual Property

All content on AliPeak, including but not limited to logos, trademarks, designs, text, images, and software, are the property of AliPeak or licensed to us. You may not:

  1. Reproduce, modify, or distribute any content
  2. Use AliPeak trademarks or logos without permission
  3. Copy website code or structure
  4. Reverse engineer our software
  5. Use content for commercial purposes without permission

7.2 User-Generated Content

When you post reviews, ratings, images, or other content on AliPeak:

  1. You retain ownership of your content
  2. You grant AliPeak a non-exclusive, worldwide, royalty-free license to use it
  3. You confirm you have the right to post the content
  4. AliPeak may remove content that violates these Terms
  5. You are responsible for any claims related to your content

7.3 Intellectual Property Infringement

If you believe content on AliPeak infringes your intellectual property rights:

  1. Contact us immediately at contactl@alipeak.com
  2. Provide detailed information about the infringement
  3. Include proof of your ownership or rights
  4. We will investigate and take appropriate action
  5. False claims of infringement may result in legal action


8. Disclaimers and Limitations of Liability

8.1 "As Is" Basis

AliPeak provides the Platform "as is" and "as available" without any warranties. We do not guarantee:

  1. The accuracy, completeness, or reliability of any content
  2. That the Platform will be uninterrupted or error-free
  3. That defects will be corrected
  4. The quality of products or services
  5. That the Platform is free from viruses or harmful code

8.2 No Warranties

AliPeak disclaims all warranties, express or implied, including:

  1. Implied warranties of merchantability or fitness
  2. Warranties of non-infringement
  3. Warranties of title

8.3 Limitation of Liability

To the fullest extent permitted by law, AliPeak shall not be liable for:

  1. Direct, indirect, incidental, special, or consequential damages
  2. Lost profits or lost data
  3. Business interruption
  4. Loss of goodwill or reputation
  5. Any damages arising from or related to the Platform or Services

Our total liability shall not exceed the amount you paid us in the last 12 months.

8.4 Certain Disclaimers

AliPeak is not responsible for:

  1. The conduct of Sellers, Customers, or other Users
  2. The quality or authenticity of products
  3. Delivery delays or courier failures
  4. Incorrect or missing information provided by Sellers
  5. Third-party content or services
  6. Network outages or technical issues beyond our control


9. Return, Refund, and Dispute Resolution

9.1 Return and Refund Policies

Returns, refunds, exchanges, and cancellations are governed by separate detailed policies:

  1. Return & Refund Policy: Covers refunds after purchase
  2. Exchange Policy: Covers product exchanges
  3. Cancellation Policy: Covers order cancellations before shipment
  4. Shipping & Delivery Policy: Covers delivery issues

These policies are integral to these Terms and incorporated by reference.

9.2 Dispute Resolution Process

If you have a dispute with a Seller:

  1. Step 1: Contact the Seller directly within 3 days
  2. Step 2: Allow 48 hours for Seller response
  3. Step 3: If unresolved, escalate to AliPeak within 14 days
  4. Step 4: Provide evidence and detailed explanation
  5. Step 5: AliPeak will investigate and mediate
  6. Step 6: AliPeak makes binding decision based on evidence

9.3 AliPeak's Role in Disputes

AliPeak acts as a mediator and facilitator, not as a party to transactions. We:

  1. Do not guarantee successful resolution
  2. Base decisions on available evidence and platform policies
  3. Reserve the right to interpret Terms and policies
  4. Cannot force Sellers or Customers to comply (enforcement through account suspension)
  5. May decline disputes outside our jurisdiction or authority


10. Limitation of Disputes

10.1 Time Limits

All disputes must be raised within the following timeframes:

  1. Product issues: Within 7 days of delivery
  2. Non-delivery: Within 7 days of expected delivery date
  3. Wrong item: Within 24 hours of delivery
  4. Refund not received: Within 7 days of refund approval
  5. Quality/authenticity issues: Within 14 days of delivery

Claims made after these timeframes may not be eligible for resolution.

10.2 Evidence Requirements

To pursue a dispute, you must provide:

  1. Order confirmation and receipt
  2. Clear photographic evidence
  3. Communication records with Seller
  4. Detailed description of issue
  5. Any tracking or shipping information


11. Prohibited Activities

You agree not to:

  1. Use the Platform for illegal activities
  2. Engage in fraudulent transactions or chargebacks
  3. Post fake reviews or manipulate ratings
  4. Harass or threaten other Users
  5. Collect or scrape data from the Platform
  6. Bypass security measures or access restricted areas
  7. Use bots, automated tools, or hacks
  8. Resell items in violation of terms
  9. Use the Platform to sell prohibited items
  10. Impersonate others or misrepresent identity
  11. Breach any applicable laws or regulations
  12. Interfere with other Users' experience


12. Suspension and Termination

12.1 AliPeak's Right to Suspend/Terminate

We may suspend or terminate your access if:

  1. You violate these Terms or other policies
  2. You engage in fraudulent or illegal activity
  3. You fail to pay fees or fulfill obligations
  4. Your account shows suspicious activity
  5. We receive complaints of misconduct
  6. We determine you pose a risk to the Platform

12.2 Effect of Termination

Upon termination:

  1. Your access to the Platform is immediately revoked
  2. Any pending transactions may be cancelled
  3. You may forfeit any remaining account balance (for Sellers)
  4. Your account data may be retained per our Privacy Policy
  5. Termination does not affect existing obligations

12.3 Your Right to Terminate

You may terminate your account at any time by:

  1. Requesting account deletion in account settings
  2. Emailing contact@alipeak.com with termination request
  3. Allowing 30 days for complete account deletion

Upon termination, you remain responsible for completing transactions and honoring obligations.


13. Indemnification

You agree to indemnify, defend, and hold harmless AliPeak, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, or expenses (including attorney fees) arising from:

  1. Your use of the Platform
  2. Your violation of these Terms
  3. Your violation of any law or third-party rights
  4. Your content posted on the Platform
  5. Your transactions with Sellers or other Users
  6. Any disputes arising from your actions


14. Governing Law and Jurisdiction

14.1 Governing Law

These Terms are governed by the laws of Bangladesh, without regard to its conflict of law principles.

14.2 Jurisdiction

You irrevocably submit to the exclusive jurisdiction of the courts of Bangladesh to resolve any disputes. Any legal action or proceeding related to your use of AliPeak must be brought exclusively in these courts.

14.3 Dispute Resolution

Before pursuing legal action, you agree to:

  1. First attempt resolution through AliPeak's dispute process
  2. Send written notice to contact@alipeak.com
  3. Allow 30 days for AliPeak to resolve the matter
  4. Only proceed to court if resolution fails


15. Third-Party Services and Links

15.1 External Links

AliPeak may contain links to third-party websites. We are not responsible for:

  1. The content of linked websites
  2. Third-party privacy practices or policies
  3. Services provided by third parties
  4. Transactions with third parties

Your use of third-party services is subject to their terms and policies.

15.2 Payment Gateways

Payment processing is provided by third-party gateways. These providers have their own terms and privacy policies. We are not responsible for their operations or policies.


16. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable:

  1. The invalid provision will be severed
  2. Remaining provisions continue in full force
  3. The severed provision will be reformed to the minimum extent necessary to make it valid
  4. Such invalidity does not affect the validity of other provisions


17. Entire Agreement

These Terms, together with our Privacy Policy, Return & Refund Policy, Exchange Policy, Cancellation Policy, and Shipping & Delivery Policy, constitute the entire agreement between you and AliPeak regarding your use of the Platform. These Terms supersede all prior agreements, understandings, negotiations, and discussions, whether written or oral.


18. Amendments and Updates

18.1 Right to Modify

AliPeak reserves the right to modify these Terms at any time. Changes are effective immediately upon posting. Your continued use of the Platform constitutes acceptance of modified Terms.

18.2 Notification of Changes

We will notify you of material changes via:

  2. Website banner
  3. In-app notification
  4. Account message

By using AliPeak, you acknowledge that:

  2. You agree to be bound by these Terms
  3. You understand the risks associated with online transactions
  4. You accept responsibility for your use of the Platform
  5. You are responsible for ensuring compliance with local laws
